    Establishing a business

    The process of setting up a company in Poland can be divided into several key steps. The first is the choice of the legal form of activity. The most popular are sole proprietorships and companies – civil law, general partnership, partnership, limited liability company or joint-stock company. Each of these forms has its own specific features, requirements and legal and tax consequences, so it is important to choose the one that best suits the needs of your business. After choosing the legal form, you must register your business with the appropriate office. In the case of a sole proprietorship, it is the Central Registration and Information on Economic Activity (CEIDG), and for companies – the National Court Register (KRS). Registration can be done both in person and online, which greatly simplifies the entire process.

    Sole proprietorship

    You can set up a sole proprietorship on the website biznes.gov.pl and sign the submitted application with the e-PUAP signature or a qualified electronic signature. Even though e-PUAP is enough to set up a business, an electronic signature will be very useful for an entrepreneur, as not all activities related to offices in Poland can be signed with e-PUAP.     When registering with CEIDG, an entrepreneur must make several fundamental decisions that will affect his settlements and the profitability of the venture in the near future. He must choose the form of taxation: whether he wants to settle PIT income tax on general principles according to the tax scale, according to a flat tax, or whether he chooses a registered lump sum as the most profitable method of settlement with the tax office. Also in CEIDG, a future entrepreneur can register for the VAT tax by automatically submitting the appropriate VAT-R form.     When completing the registration form in CEIDG, you must register with the Social Insurance Institution. If we intend to take advantage of the reliefs we are entitled to, e.g. Start-up relief, which will authorize us to pay only health insurance contributions for a period of 6 months (PLN 381.78 in 2024), is the moment when we should declare it.     limited liability company

    Registration of a limited liability company can be done in a simplified or so-called traditional method. Using a simplified method, we register the company in the S-24 system of the Ministry of Justice. We do not have to prepare the company agreement in the form of a notarial deed (additional cost of at least PLN 500), however, we will not have full freedom to shape the relations between partners and company bodies based on the Commercial Companies Code. In the registration process in the S-24 system, we can only choose the standard template of the company agreement, which has a limited number of variants. In the case of the traditional model, we start the process with a visit to a notary, where we, as future partners, accept the partnership agreement and register the company in another system, the Court Register Portal (PRS).
